By accessing or using the website and services of Octopi Digital LLC, you agree to be bound by these Terms & Conditions and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use our website or services.

Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use our services. By using our services, you represent and warrant that you meet these requirements.

Order of Precedence

Where a signed proposal, statement of work, or master services agreement exists between you and Octopi Digital, the specific terms of that document take precedence over these general Terms for the engagement it covers.

Services

Scope of Services

Octopi Digital provides digital solutions including web and software development, e-commerce solutions, AI automation and AI agents, CRM integration, creative design, branding, and digital marketing services. The specific scope, deliverables, and timeline of any engagement will be defined in a separate proposal, statement of work, or agreement.

Project Phases & Approvals

Projects are typically delivered in phases such as discovery, design, development, and launch. Each phase may require your written approval before we proceed to the next. Approving a phase confirms that the work meets the agreed requirements for that stage.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of our services.

Project Scope & Revisions

Defined Scope

The deliverables, features, and number of revision rounds for your project are defined in your proposal or statement of work. Anything not expressly listed there is considered out of scope.

Revision Rounds

Each engagement includes a set number of revision rounds at key milestones. Revisions are intended to refine agreed deliverables, not to introduce new requirements. Additional rounds beyond those included may be billed at our standard rates.

Change Requests

Requests that expand the original scope — new pages, features, integrations, or significant design direction changes — will be quoted separately as a change request and may affect the project timeline and cost.

Payment Terms

Fees and Invoicing

Fees for our services are outlined in the applicable proposal or agreement. Unless otherwise stated, invoices are due within the period specified on the invoice. Projects may require an upfront deposit before work begins.

Milestone Billing

Larger projects may be billed against milestones. Payment for each milestone is due before work on the subsequent milestone begins unless otherwise agreed in writing.

Late Payments

Late or missed payments may result in suspension of services and may incur additional charges. We reserve the right to withhold deliverables until outstanding balances are paid in full.

Taxes

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes, duties, or similar charges associated with your purchase of our services.

Client Responsibilities

Cooperation and Materials

You agree to provide accurate information, timely feedback, and any materials, content, or access required for us to deliver our services. Delays in providing these may affect project timelines and delivery.

Accounts & Access

Where we require access to your hosting, domain, analytics, advertising, or third-party accounts to deliver the work, you are responsible for providing valid credentials and for the security of those accounts.

Lawful Use

You agree to use our services only for lawful purposes and in accordance with these terms. You will not use our services in any way that infringes the rights of others or that is unlawful, harmful, or fraudulent.

Timelines & Delays

Estimated Timelines

Any timelines we share are good-faith estimates based on the agreed scope and your timely cooperation. They are not guarantees unless expressly stated as fixed deadlines in a signed agreement.

Client-Caused Delays

Delays caused by late feedback, missing content, or pending approvals on your side may extend the schedule and, for time-sensitive resourcing, may affect cost. We will communicate any material impact as soon as we are aware of it.

Intellectual Property

Ownership of Deliverables

Upon full payment, ownership of the final deliverables created specifically for you transfers to you, except for any third-party assets, pre-existing materials, or proprietary tools and frameworks owned by Octopi Digital.

Our Materials

All content, branding, code libraries, processes, and proprietary methodologies developed and owned by Octopi Digital remain our exclusive property. You may not reproduce, distribute, or create derivative works without our written consent.

Third-Party & Licensed Assets

Some deliverables may include third-party assets such as fonts, stock imagery, plugins, or libraries that are governed by their own licenses. You are responsible for maintaining any ongoing licenses required to keep using those assets after delivery.

Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to display and reference completed work in our portfolio, case studies, and marketing materials.

Confidentiality

Mutual Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed during an engagement and to use it only for the purpose of delivering or receiving the services.

Credentials & Data

We treat the account credentials and data you share with us as confidential and limit access to team members who need it to perform the work. You agree to promptly revoke or rotate credentials once an engagement ends if you wish to remove our access.

Third-Party Services & Hosting

Third-Party Platforms

Our solutions may rely on third-party platforms and tools such as hosting providers, content delivery networks, payment processors, analytics, AI providers, and marketing platforms. Your use of those services is subject to their own terms, and we are not responsible for their availability, performance, or pricing changes.

Hosting, Domains & Maintenance

Unless a hosting, maintenance, or support plan is expressly included, ongoing hosting, domain renewals, security updates, and maintenance are your responsibility after the project is delivered. We offer separate maintenance plans on request.

Warranties & Disclaimers

As-Is Basis

Our services are provided on an 'as is' and 'as available' basis. While we strive for excellence, we do not warrant that our services will be uninterrupted, error-free, or that defects will be corrected.

Third-Party Services

We are not responsible for the performance, availability, or policies of third-party platforms, hosting providers, or tools used in connection with our services.

Limitation of Liability

Liability Cap

To the maximum extent permitted by law, Octopi Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising out of or relating to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Octopi Digital, its officers, employees, and partners from any claims, damages, or expenses arising from your use of our services or your violation of these terms.

Force Majeure

Events Beyond Reasonable Control

Neither party is liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, internet or hosting outages, power failures, labor disputes, government actions, or other force majeure events. Affected obligations are suspended for the duration of the event.

Termination

Termination Rights

Either party may terminate an engagement in accordance with the terms of the applicable agreement. We reserve the right to suspend or terminate your access to our services if you breach these terms or fail to meet payment obligations.

Effect of Termination

Upon termination, any outstanding fees for work completed become immediately due. Provisions relating to intellectual property, payment, liability, and governing law survive termination.

Governing Law

Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located there.

Dispute Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct, written communication. We encourage you to contact us first so we can work toward a fair resolution.

Changes to These Terms

Updates

We may update these Terms & Conditions from time to time to reflect changes in our practices or legal requirements. We will notify you of significant changes by posting the updated terms on our website with a new 'Last Updated' date. Your continued use of our services constitutes acceptance of the revised terms.
